Our business practice remains a key focus of the firm.  We primarily represent small and midsized corporations, limited liability companies and partnerships on all aspects of their general business needs, including, employee incentive plans, corporate reorganizations, partner buyouts, private equity transactions, mergers and acquisitions, and all aspects of business litigation, including shareholder and partner disputes.  We also represent individual shareholders and members in transactions with their entities and other members. 

Recent Business Transactions

Drafted numerous employee equity plans for both start up business in the tech sector as well as established brick and mortar businesses, including stock options, stock awards, stock purchase plans, and phantom stock plans. 

Negotiated and drafted purchase agreement for asset acquisition of a wireless internet service provider. 

Negotiated and drafted a multi-million-dollar stock purchase agreement on behalf of technology start-up company with initial seed investor. 

Recent Business Litigation Results

Multi-million dollar settlement. Represented a minority partner in a complex partnership dispute involving half a dozen different real estate developments.  The case settled halfway through a month-long trial for well into the seven-figure range.  Prior to trial, the defendant had offered a mutual walk-away. 

Represented corporation in dispute with former chief executive officer who was claiming more than seven-figures in deferred compensation pursuant to a written contract with the corporation.  After conducting a forensic audit and presenting breach of fiduciary duty claims against the former executive, we settled the case without litigation less than one-third of the amount demanded. 

Represented unsecured lender in collection litigation against commercial borrower.  After obtaining a writ of attachment against the borrower’s property, a settlement ensured where the lender was paid in full, plus all interest, late fees and attorney’s fees.
